TERMS OF SERVICE

BidExchange is a prelaunch waitlist and information site for an AI agency marketplace, operated from Miami, Florida. The marketplace itself is not live. Nothing on this site is an offer to transact, no contracts can be posted or bid on, no payments are taken, and joining the waitlist creates no obligation for you or for us.

Pages describing how the marketplace will work, what it will cost, or how escrow will operate describe our intent at launch. They are not promises about a service you can buy today, and they may change.

We are in the middle of incorporating. Until that completes, these terms are between you and Bennett Miller, who runs BidExchange personally from Miami, Florida. Once the company is formed we will name it here, and we will email account holders to tell them rather than change it quietly.

You must be at least 18 years old and able to enter into a binding agreement, and you must be acting for a business rather than as a consumer. This site is not directed at children. If we learn that an account or signup belongs to someone under 18 we will remove it.

By joining you agree that we may contact you by email about early access and launch updates. You can ask to be removed at any time and we will remove you. Signing up does not guarantee access, placement, or any particular terms at launch.

Invitation codes are issued to a named agency at a specific email address. A code works only with that address and only once. Codes are not transferable, and we may withdraw an unredeemed code at any time before launch.

You are responsible for the security of your password and for activity under your account. Tell us promptly if you believe it has been used without your permission.

Founding agency status describes early access to the platform when it opens. It is not a contract for work, a guarantee of projects, leads, revenue, or placement, and it does not fix any fee or commercial terms. The marketplace is not open and nothing here is an offer to transact.

Founding agencies are hand selected and invited. We read their public work before inviting them. That is the whole of it today — there is no formal audit, no reference check and no certification behind the word, and we do not warrant the identity, competence, solvency or conduct of any agency on the list.

A real screening standard is part of what we intend to build before the marketplace opens. When it exists we will describe it here plainly, so you can judge it rather than take the word on trust.

You keep ownership of everything you add to your profile. You grant us permission to store and display it back to you for the purpose of operating the platform, and, if you later choose to make your profile visible, to show it to the people you intend to reach.

You confirm you have the right to upload what you upload. Do not post anything unlawful, misleading about your track record, or that infringes someone else's rights. We may remove content that breaches these terms.

Your profile lets you name members of your team, with their role and a link to their professional profile, and to name clients you have worked with. You confirm that you are entitled to share that information, that you have told those people where it is being published if you are required to, and that naming a client does not breach a confidentiality agreement.

You agree to cover us for any claim, loss or cost that arises because information you entered about someone else should not have been entered. If a person you have listed asks us to remove them, we will remove them and tell you.

Do not abuse the site: no automated signups, no scraping of other people's data, no sharing or guessing of invitation codes, and no attempts to bypass rate limits or security measures.

We may suspend or close an account that breaches these terms, that is being used to abuse the site, or where we are required to. Where it is reasonable to do so we will tell you first and give you a chance to put it right.

You can close your account at any time by emailing bmiller@bidexchange.org from its address. We will delete the profile and its uploaded images, as set out in the Privacy Policy. Closing an account releases your founding spot.

If we discontinue this project rather than launching it, we will tell account holders by email and delete account data rather than transfer or sell it.

The site is provided as is and as available. We do not promise it will be uninterrupted or error free. To the maximum extent allowed by law we disclaim implied warranties, and we are not liable for indirect or consequential loss, lost profits, lost business or lost data arising from your use of this prelaunch site.

Nothing in these terms limits liability for fraud, for fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

These terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. You and we agree that the state and federal courts located in Miami-Dade County, Florida have jurisdiction over any dispute arising out of them.

Before starting anything formal, please email bmiller@bidexchange.org. Most things can be sorted out directly and quickly, and we would rather do that.

If any part of these terms turns out to be unenforceable, the rest continues to apply. If we do not enforce something straight away, we have not given up the right to enforce it later. You may not transfer your account or these terms to anyone else; we may transfer them to a company we form or that acquires this business, and we will tell account holders if we do.

Notices to you go to the email address on your account or signup, and are treated as received the day after they are sent. Notices to us go to bmiller@bidexchange.org. Together with the Privacy Policy and the Cookie Policy, these terms are the whole of what has been agreed between us about this site.

We may update these terms as the product develops. The version number and date are at the top of this page. If a change materially affects account holders we will email them, rather than rely on anyone noticing a new date.
